THE ASSOCIATION OF FRIENDS OF THE WICHITAS
BYLAWS

(Amended February 21,2007)

Article I.  NAME
Section 1: The organization is called The Association of Friends of the Wichitas (FOW).

Article II.  PURPOSE CLAUSE
Section 1: The purpose of the FOW is to promote public appreciation of and support for the Wichita Mountains Wildlife Refuge (herein after referred to as the Refuge) and the Fish and Wildlife Service (herein after referred to as the Service).  This support shall include conducting interpretive programs, fundraising, and other volunteer activities that the FOW and the Refuge may agree on.

Article III.  MEMBERSHIP
Section 1:  Membership shall be open to any person who supports the aims of the FOW, the Refuge and the Service.  Categories of membership are Individual, Family, Business, and Life.
          
Section 2: Annual dues are: Individual $15.00; Family $25.00; and Business $50.00.  Life Membership will be one payment of $250.00.  After 60 days grace period, member will be dropped from mailing and membership list.
           
Section 3: The Refuge Liaison shall be a non-paying member with no voting rights.
           
Section 4: Guest speakers may be given a gift membership for one year in exchange for their presentation.
           
Article IV.  OFFICERS
           
Section 1: The President shall perform recognized duties of office, and be an ex-officio member of all committees except the nominating committee.
           
Section 2: The Vice President shall perform recognized duties of office and be responsible for making sure all the interpretive programs have leaders, drivers, and assistants.  The Vice President shall maintain an historical record of the number of participants in each interpretive program and the names of the leaders.  The Vice President shall maintain volunteer hours and annually report them to the Refuge.
           
Section3: The Secretary shall perform recognized duties and maintain the Association’s minutes of membership and executive meetings, monthly newsletter, quarterly publication, and historic trail of information pertaining to the Association in a file cabinet provided by the Association.  The Secretary will be the editor of the Association’s monthly newsletter.
           
Section 4.  The Treasurer shall perform recognized duties and maintain an historic record of the number of participants on each interpretive tour, the name of the leader and the money collected.
           
Section 5.  The Parliamentarian shall attend all meetings, prevent actions contrary to the Bylaws, and perform recognized duties.
           
Section 6: A Historian shall be appointed.  Duties shall include collecting and organizing the historical information in a manner that can be used as a historic reference and display of Association activities.
           
Section 7: An Editor for the Quarterly Journal shall be appointed.  Duties shall be publishing a quarterly report of items of interest to membership in January, April, July, and September.  All members will be encouraged to contribute information.

Article V.  MEETINGS
           
Section 1.  Membership Meetings will be held at the Lawton Public Library at 1900 hours on the third Wednesday of each month.
           
Section 2.  The President, or any other Executive Committee member, may request an Executive Committee Meeting.  The committee will determine place and time.  The Executive Committee shall be empowered to take only procedural actions or obligate the Association to budgeted financial expenditures.  Substantive decisions and non-budgeted financial outlays require action by the membership at a regular scheduled meeting.
           
Section 3.  Ad Hoc Committee Meetings will take place as needed, in a location to be determined by the committee members.

Article VI.  FISCAL YEAR
           
Section 1: The fiscal year shall be October 1 through September 30.
           
Section 2: All written reports shall be completed by 7 October to comply with the Service calendar.

Article VII.  COMMITTEES
           
Section 1: The Education Committee will be responsible for obtaining speakers for interpretive tour orientations, and general membership meetings.  Coordination with Executive Committee members is essential.

Article VIII.  AMENDMENTS
           
Section 1: These Bylaws may be amended by affirmative vote of simple majority of the members present at the regular scheduled meeting.  Proposed amendments will be mailed to active members at least two week before vote.

Article IX.  DISSOLUTION CLAUSE
           
Section 1: Upon dissolution of the Association, FOW will dispose of all the assets of the Association to the Refuge, or as indicated in the Articles of Association.

Article X.  APPROVAL
           
Section 1: These Bylaws replace all previous Bylaws.  Agreements with the Refuge remain valid.  Approved on February 21, 2007.
